Terms of Service

1. Agreement to terms
By accessing or using SunbizData ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Service.
2. Description of service
SunbizData is a REST API providing structured access to Florida Division of Corporations data. The Service includes entity search, entity detail retrieval, a web dashboard for account management, and related documentation. Data is sourced from official state bulk files and updated daily.
3. Account registration
To use the Service, you must create an account with a valid email address and verify it. You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity under your account. You must be at least 18 years old to create an account.
4. API keys and access
API keys are issued to authenticated users for programmatic access to data endpoints. You are responsible for securing your API keys. Do not share keys publicly or embed them in client-side code. If you believe a key has been compromised, revoke it immediately from the dashboard. We reserve the right to revoke keys that are used in violation of these terms.
5. Billing and payments
The Service uses a prepaid balance model. Each API request to data endpoints deducts one request from your balance. Requests are purchased via Stripe at $0.005 per request ($5 per 1,000 requests). Larger deposits receive bonus requests (up to 15% extra). Minimum deposit is $5. Prepaid requests never expire. All prices are in USD. No refunds are issued for unused balance.
Saved payment methods
When you add funds, your payment method is saved for future use. By completing a payment, you authorize SunbizData to store your payment method and charge it for future transactions as described below. You may remove your saved payment method at any time from the dashboard.
Auto-recharge
Auto-recharge is an optional feature that automatically charges your saved payment method when your request balance drops below a threshold you configure. By enabling auto-recharge, you authorize SunbizData to initiate charges on your behalf without requiring additional approval for each transaction. The amount charged is the recharge amount you select in the dashboard. Charges occur at unscheduled intervals — only when your balance falls below your configured threshold during normal API usage. You may disable auto-recharge or remove your saved payment method at any time from the dashboard, which immediately stops future automatic charges.
6. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to circumvent rate limits, authentication, or billing controls; resell or redistribute bulk data obtained through the Service without adding substantial value; use automated tools to create multiple accounts; overload the Service with excessive requests beyond rate limits; reverse-engineer or attempt to extract the underlying database. We reserve the right to suspend or terminate accounts that violate these terms.
7. Data accuracy
Data provided through the Service is sourced from the Florida Division of Corporations and is provided "as is." While we update data daily, we do not guarantee the accuracy, completeness, or timeliness of any record. The Service is not a substitute for official searches on sunbiz.org. SunbizData is not affiliated with the State of Florida or the Division of Corporations.
8. Rate limiting
The Service enforces rate limits to ensure fair access for all users. Current limits are 60 requests per minute. Exceeding rate limits results in temporary throttling (HTTP 429). Sustained abuse may result in account suspension.
9. Service availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. No service level agreement (SLA) is provided. Data sync schedules (daily and quarterly) may occasionally be delayed due to upstream source availability.
10. Limitation of liability
To the maximum extent permitted by law, SunbizData and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities. Our total liability for any claim arising from the Service is limited to the amount you paid in the 12 months preceding the claim. This limitation applies regardless of the theory of liability.
11. Termination
Either party may terminate at any time. You may stop using the Service and revoke your API keys. We may terminate or suspend your account for violation of these terms, abuse, or non-payment. Upon termination, remaining prepaid requests are forfeited. Account data is deleted within 30 days of termination.
12. Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the courts of the State of Florida.
13. Changes to these terms
We may update these terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
